Please read these terms of use carefully and completely before using the Latin America Donor Index or any feature of this site. This Latin America Donors Index site (heretofore “Latin America Donors Index") is owned and operated by Fundación AVINA (heretofore AVINA). By using this site, you automatically agree to all of these terms of use. We may revise these terms periodically. If you continue to use our site after we make revisions to these terms and conditions, it will mean you accept those changes.

Copyrights/Use of Materials on this Site

All materials on our site are the sole property of AVINA or its licensors. The exclusive rights to all materials on this site are protected by U.S. and international laws of copyright, trademark and unfair competition.

You agree to use our site only in a non-commercial manner. No information found on this site or the name of Latin America Donor Index or the name of AVINA may be used in advertising or for any other commercial purpose, including solicitation of contributions, without our written permission. You may not copy, reproduce, distribute, modify, display, prepare derivative works based on, republish, transmit, repost or otherwise use the content of our site, without prior written authorization from AVINA. User Materials

Through the Contact Us page and through any other features of the Latin America Donor Index, users may post, upload, transmit and/or otherwise submit ("Submit") comments, messages, other content and materials, and make recommendations, on or through the Latin America Donor Index Site ("User Materials"). You acknowledge that User Materials may be routed through our servers, the servers of one or more third parties on our behalf, and the Internet, and may be viewed by AVINA staff and on the Internet by the general public. Rules for Use of the Service

• The Service can only be used for personal, non-commercial purposes. You cannot submit any material containing any solicitation of funds, advertising, promotion, solicitation for goods and services, or recruiting.
• By submitting any User Materials on or through the Service, you hereby grant AVINA and their licensees, and users of the Index (to the extent permitted by the Terms of Use) the licenses to use those User Materials as set forth above in the "User Materials" section.

You are solely responsible for any User Materials submitted using your account. AVINA does not and cannot review all User materials submitted by you or others and is not responsible for any User materials submitted by you or others on or through the Service. However, AVINA has the right (but not the obligation) to review, screen, delete, edit and/or move any User Materials that it deems, in its sole discretion, to be in violation of the Rules for Use of the Service, or these Terms of Use, or for any other reason, as determined in AVINA's sole discretion.

By using the Latin America Donor Index, you agree to abide by these rules. You acknowledge that AVINA has the right (but not the obligation) to review, screen, delete, edit or move content or material that it deems, in its sole discretion, to be in violation of the Rules for Use of the Service, the Social Networking Discussion Rules (for User Materials Submitted through the AVINA Community), or these Terms of Use, or for any other reason, in its sole discretion. You further acknowledge that AVINA has the right to limit or terminate your, or any other person's, access to or registration in the Service for any reason, in its sole discretion, including violation of the Rules for Use of the Service or these Terms of Use.

Representations, Indemnity

You represent and warrant that (a) if you Submit any User Materials or personally-identifying information on or through the Service, you are at least 18 years of age, (b) you have obtained all clearances, releases, licenses and rights to any User Materials you Submit on or through the Service that may be necessary for their use as contemplated by the Latin America Donor Index and these Term of Use, (c) there are no encumbrances or restrictions on the User Materials or their use as contemplated by the Latin America Donor Index and these Terms of Use, (d) the User Materials, and their use by AVINA does not and will not defame any person or entity, or violate or infringe upon the copyright, trademark, patent, trade secret, privacy, reputation, creative or other rights of any person or entity or violate any Rules for Use of the Service or these Terms of Use, and (e) your use of the Service complies with these Terms of Use.

You agree that you will indemnify and hold harmless AVINA and their respective directors, officers, employees, members, licensees from any and all claims, liabilities, costs or expenses, including reasonable attorneys' fees, arising from (1) your breach of any of the above representations and warranties, (2) your use of the Service, (3) the User Materials you have Submitted on or through the Service, or (4) AVINA's publication, distribution or use of such User Materials, or the authorized publication, distribution or use of your User Materials by AVINA or AVINA licensees.

Limitations on AVINA's Liability

The materials on this site are provided solely for educational purposes. Your use and browsing of this site is at your own risk. Materials may include technical inaccuracies or other errors. They are provided to you "as is" without warranty of any kind, either express or implied, including but not limited to, warranties of merchantability, non-infringement of intellectual property, and fitness for a particular purpose.

AVINA does not warrant that the functions contained in the materials of the Latin America Donor Index will be uninterrupted or error-free, that defects will be corrected, or that our site or the server that makes it available are free of viruses or other harmful components. AVINA does not warrant or make any representations regarding the use or the results of the use of the materials on our site in terms of their correctness, accuracy, reliability, or otherwise. You (and not AVINA) assume the entire cost of all necessary servicing, repair or correction. Applicable law may not allow the exclusion of implied warranties, so the above exclusion may not apply to you. In no event shall AVINA's total liability to you for all damages, losses, and causes of action, including but not limited to negligence, arising out of or in connection with your use of this site, exceed the amount paid by you, if any, for accessing this site.

Miscellaneous

These Terms of Use, together with the Privacy Policy, represent the entire understanding of the parties regarding the use of the Latin America Donor Index and supersede any previous documents, correspondence, conversations, or other oral or written understanding related to the use of the Latin America Donor Index. These Terms of Use are separate and distinct from the terms of use governing AVINA’s www.avina.net site and the web sites that may link to or from the Latin America Donor Index. These Terms of Use shall be governed by and construed under District of Columbia law without regard to its choice of law rules, and, where applicable, the laws of the United States. To the extent permissible by law, any disputes under these Terms of Use or relating to the Service shall be litigated in the local or Federal courts located, and you hereby consent to personal jurisdiction and venue, in the District of Columbia.

A modification or waiver of a part of these Terms of Use shall not constitute a waiver or modification of any other portion of the Terms of Use. If for any reason any provision of these Terms of Use is found unenforceable, that provision will be enforced to the maximum extent permissible, and the remainder of the Terms of Use will continue in full force and effect.
